We have experience in all aspects of fund formation including structuring, investor negotiations, side letters, fund closings as well as advising on carried interest and co-investment arrangements. In addition to fund establishments and structuring, we also regularly advice on a wide range of private equity fund investments.

Our Directors' recent prior experience includes: 


  • Advised on the establishment of a US$100 million fund in Singapore, focused on consumer retail investments in Asia, with a multinational bank as a cornerstone co-investor.

  • Advised a Sri Lankan conglomerate in establishment of a Singapore fund targeting investments into palm oil industry in region.

  • Advised group of private equity investors on most appropriate jurisdiction for setting up a private equity fund investing in certain Asian jurisdictions.; evaluating regulatory issues and tax implications of various host jurisdictions.

  • Representation on US$17 million preference shares financing of a travel meta search engine business from existing investors.

  • Representation of fund manager to obtain an exempt fund manager registration with the Monetary Authority of Singapore and subsequently upgrade of license to “licensed fund manager” status for accredited/institutional investors.


We provide legal counsel and representation to major multi-national and regional corporations, private equity and venture capital firms, boutique investment banks, senior management, and shareholders in a wide range of strategic transactions, worth hundreds of millions to smaller acquisitions of entrepreneurial businesses.  


We help our clients’ structure, negotiate, and execute complex domestic and international acquisitions, mergers, sale of control transactions, and joint ventures, as well as strategic business combinations. We are also getting increasingly involved with strategic exits by founders and early investors from venture-backed emerging growth companies, having advised these companies on their Venture Capital financing.


We work with our clients to understand their key business and legal objectives, we perform due diligence, identify issues, negotiate transaction documents and interact extensively with clients to advise them on the deal.  We utilise our extensive corporate governance expertise to effectively represent clients and efficiently and quickly complete transactions on their behalf in cross jurisdictional mergers and acquisitions.   We have significant experience across industries and are well placed to advise clients on a wide range of industry-specific aspects that may be relevant to the process, from due diligence to closing a transaction.
